Company formations FAQs

  • If you register your company using Zempler, you will initially pay the £50 Companies House fee. If you also apply for a Business Go account and load £100 into your account within 30 days, Zempler will credit your account with £100 within 30 days. That means you'll be £50 better off.

  • Yes. We’re registered as a formation agent with Companies House and use software approved by them for submitting electronic incorporations, so it's safe and efficient to register your new company with Zempler.

  • Once you’ve completed your application, our team will do an initial review to make sure everything looks good, which can take up to 24 hours. We’ll then send it on to Companies House. On average it takes between 12 and 24 hours for Companies House to incorporate most companies. However, this timeframe can vary depending on their workload and, in some cases, may take longer. Please note that Companies House only processes applications between 8:30 AM and 5:00 PM, Monday to Friday.

  • This all depends on the type of business structure you use. If you decide to go down the sole trader route then you don't need to register with Companies House, however if you decided to form a limited company then you will have to.

Unsure and want to know the difference between sole trader vs limited company?

  • The key things that you'll need to register a company are:

    1. A unique company name
    2. A registered office and email address
    3. Selecting who your company officers will be
    4. Declaring who your person(s) with significant control (PSC) is
    5. Get your memorandum and articles of association

Have a read of our guide on how to register a limited company in the UK for more information on this.

  • The main business structures in the UK are sole trader, partnership, limited company, LLP as well as some other less common structures. The type of business ownership you choose affects everything from your tax obligations, to the level of risk you carry, and how easily you can grow.

For a full breakdown of the types of business you can choose and the reasons behind why you should, we've written a guide for you

  • Yes, you can. There's no limit to the number of directors a company can have.

  • Although there are many expenses as a business that can be tax deductible, the cost of the company formation isn't one of those things.

  • The standard cost to register a business online with Companies House is £50.

If you register a business with Zempler (a registered formation agent with Companies House), opt-in to a Business Go bank account at the same time and deposit £100 within the first 30 days, you'll be rewarded with an extra £100, which means you'll be £50 better off.

Want to find out more information on how much it costs to set up a limited company?

  • You can use our formations service to check if your company name is available. Make sure it's something unique, and that it's not the same as another registered company’s name.

  • This depends on the type of business structure that you choose. If you are a limited company then you are legally required to have a business bank account, however if you're a sole trader or partnership then you are not legally required to have one. It's worth noting that even though you are technically not legally required to have one as a sole trader or partnership it is often recommended for clarity and ease of accounting.

  • Your company will pay general corporation tax. If your company makes a profit of less than £50,000 then you pay something called the 'small profits' rate which is 19%, and if your company makes a profit of more than £250,000 you'll pay the main rate of tax (which is currently 25%).

  • Yes. We received our banking license in 2021. Zempler is a regulated British bank, so your money is protected by the Financial Services Compensation Scheme (FSCS) up to £85,000, on eligible deposits.
