Registering your company with Zempler Bank
Starting your own company is an exciting time. We’ve made it a simple process to register your limited company through Zempler, so that you can get going with running your new business.
If you register your company using Zempler, you will initially pay the £50 Companies House fee. If you also apply for a Business Go account and load £100 onto your account within 30 days, Zempler will credit your account with £100 within 30 days. Check out the full terms here.
If we’re unable to continue with your application, we’ll refund the Companies House fee to the original payment method you used when you applied. It can take up to seven days for the money to be processed and appear in your account. If your money is returned to us, for whatever reason, we’ll let you know.
If you’re looking to set up a business and would like to compare the different types available to you, you can find out more information on the GOV.UK website. You should think about whether setting up a limited company is suitable for you. You may want to take independent financial, legal and tax advice for more information.
To set up your new company you’ll need:
- A unique company name. You can use our search tool here to find out immediately if the company name you want is available.
- Some personal information. You’ll need to provide personal details including your address, date of birth and nationality.
- A registered office address. You can choose your home address or your business address (if you have a separate trading address).
- Officers of the company. You will need to confirm the name(s) and personal details of the Director(s), Shareholder(s) and, if you choose to appoint one, the Secretary of the company you are setting up.
Yes. We’re registered as a formation agent with Companies House and use software approved by them for submitting electronic incorporations, so it's safe and efficient to register your new company with Zempler.
Currently we only allow one company registration per person.
While we can’t give you the inspiration to decide on your perfect company name, we can help you find out if it’s available once you’ve chosen it. Just use the simple search tool at the start of your application to see if it’s available and we’ll let you know straight away. If it isn’t, just try again and keep going until you find one you like. Once you’ve found one that’s available, we’ll register it for you with Companies House.
You can choose any name for your company. However, there are some names that have sensitive terms as deemed by Companies House that might require additional documents. For example, if you want the company name ‘The Good Doctor’, you will need to provide us with documents proving you are a registered doctor. You can find the full list of words that will require approval here.
Once registered, your name, nationality, occupation, month and year of birth, the registered office address of your business and the service address of its directors will appear on public record.
Your home address will only show on the public record if you choose it as your registered office address. You can find out more on the Companies House website.
You can do it yourself. It’s simple to register your company – all you need is your company name, a few bits of information about you and we’ll take care of the rest. We do encourage you to get legal and tax advice to determine whether setting up a limited company is right for you and to understand what your responsibilities are.
No. At the moment you can only create a limited company using the Zempler company formation service. And this is currently restricted to a company limited by shares.
You can find out how to add yourself, under certain circumstances, to the secure register at GOV.UK.
Yes. Companies House requires all limited companies to include either ‘LTD’ or ‘Limited’ at the end of their names. If you don’t add it when using the company name search tool, we’ll automatically add it for you.
There’s no difference between ‘LTD’ and ‘Limited’ apart from how they look. Companies House requires all limited companies to include either ‘LTD’ or ‘Limited’ at the end of their names.
Apart from the responsibilities around managing a company and obvious stuff about running your business as best you can, there are some important annual responsibilities you need to complete as the company director. These include filing your annual tax and company returns honestly and on time, and keeping an up to date register of directors, shareholders and ‘People with Significant Control’ (PSCs) in your company. To get a full rundown of your responsibilities as company director, take a look at the GOV.UK website.
Not on paper. The registration process is all done online, in minutes, with a digital signature.
Once you’ve completed your application, our team will do an initial review to make sure everything looks good, which can take up to 24 hours. We’ll then send it on to Companies House. On average it takes between 12 and 24 hours for Companies House to incorporate most companies. However, this timeframe can vary depending on their workload and, in some cases, may take longer. Please note that Companies House only processes applications between 8:30 AM and 5:00 PM, Monday to Friday.
You can find contact details for Companies House at GOV.UK.
